1. Introduction
These Terms of Use ("Terms") govern your access to and use of the CompliSafe platform, including the website, mobile applications and related services (collectively, the "Platform").
By accessing or using the Platform, you agree to be bound by these terms.
1A. Acceptance of Terms
By creating an account, clicking "I Agree," accessing, downloading or using the Platform, you acknowledge that you have read, understood and agree to be bound by these Terms, together with the Privacy Policy, Cookie Policy and other policies incorporated by reference.
If you do not agree to these Terms, you may not access or use the Platform.
Continued use of the Platform after updates to these Terms constitutes acceptance of the revised Terms.
2. Definitions
- "Applicable Law" means all laws, regulations, codes and standards relevant to the use of the Platform.
- "Customer" means the organisation subscribing to the Platform.
- "User" means any individual accessing the Platform.
- "Audit Trail" means a system-generated record of user actions, timestamps and system events.
- "Compliance Score" means any indicative compliance rating generated by the Platform.
- "De-Identified Data" means data that cannot be used to identify a person or business.
- "Super User" means an administrator with elevated permissions.
- "Subprocessor" means a third party engaged to process data.
3. Nature of the Platform
The Platform provides digital tools to assist with:
- Occupational Health and Safety Administration
- Food Safety Record Management
- Compliance tracking and task management
- Risk assessments
- Contractor management
- Document control
- Training administration
The Platform is a support tool only and does not constitute legal advice, certification, or compliance assurance.
3A. Platform Changes and Beta Features
We may update, improve, modify, suspend or discontinue features of the Platform from time to time.
Certain features may be designated as experimental, pilot or beta features and may be changed or withdrawn without notice.
We are not liable for changes to, or discontinuation of, features made in the ordinary course of product development.
3B. Intellectual Property
All rights, title and interest in and to the Platform, including software, source code, methodologies, workflows, templates, Compliance Scores, branding, trademarks and related content, remain the property of CompliSafe or its licensors.
Subject to these Terms, you are granted a limited, non-transferable right to use the Platform for lawful internal business purposes only.
You may not reproduce, distribute, reverse engineer or exploit any part of the Platform except as expressly permitted.
4. No Transfer of Legal Responsibility
Use of the Platform does not:
- Constitute a statutory appointment;
- Create a mandatory relationship;
- Transfer legal or employer responsibilities;
- Satisfy Section 37(2) written agreement requirements;
- Replace legal compliance obligations under applicable legislation.
You remain fully responsible for compliance with all Applicable Laws.
5. Accounts and Access
You are responsible for:
- Maintaining the confidentiality of login credentials
- Ensuring all users comply with these Terms
- All activities performed under your account
Super Users are responsible for:
- Controlling permissions and access
- User management
- Acting on behalf of the customer
The Platform is not liable for Super User misuse.
6. Acceptable Use
You agree not to:
- Upload false, misleading, or fraudulent records
- Falsify audit logs or timestamps
- Share login credentials
- Upload unlawful or harmful content
- Interfere with the Platform's security or integrity
We may suspend or terminate access for violations.
7. Data and Records
7.1 Ownership
You retain ownership of all data you upload. You grant us a license to host, process, and back up your data to provide the services.
7.2 Audit Trail
The Platform maintains an immutable Audit Trail of:
- Timestamps
- User actions
- Approvals
- Modifications
- Exceptions
Users may not manipulate, falsify or alter records.
7.3 Offline Function
Where offline features exist:
- Data may not sync immediately
- Delays may impact reporting accuracy
- The customer is responsible for verifying uploads.
The Platform is not liable for the user's failure to sync. You are responsible for ensuring data is properly synced.
8. Privacy and Data Protection
Your use of the Platform is governed by our Privacy Policy, which forms part of these Terms.
CompliSafe may act:
- As a responsible party in relation to account, website and customer relationship information processed for its own business purposes; and
- As an operator where processing personal information on behalf of Customers through the Platform.
We may use de-identified and aggregated data to:
- Improve the Platform
- Generate benchmarks
- Produce industry insights
No identifiable information will be shared for these purposes.
Customer Backup Responsibilities
Customers are responsible for maintaining independent copies of critical compliance records and should not rely solely on the Platform as their exclusive record repository.
9. Security Measures
We implement reasonable technical and organisational measures, including:
- Encryption in transit and at rest
- Access controls
- System logging and monitoring
- Backups
In the event of a security incident, we may investigate, contain and notify affected users where required.
Regulatory Content Disclaimer
Any regulatory or compliance-related content:
- Is provided for informational purposes only
- May not reflect the latest legal updates
- Does not replace professional or legal advice
You should not rely solely on the Platform for compliance decisions.
No Professional Advice
The Platform and Compliance Content do not constitute legal, tax, labour, insurance, food safety, occupational safety or other professional advice. Professional advice should be obtained where required.
10. Compliance Scores
Any compliance score or rating:
- Is indicative only
- Is not a certification
- Should not be relied on for legal or insurance decisions
11. Fees and Subscriptions
Where applicable:
- Fees are payable in accordance with the subscription selected
- Subscriptions may renew automatically unless cancelled in accordance with applicable plan terms
- Cancellation notice periods may apply
- Downgrade or termination may affect feature access
- Refunds, where applicable, are governed by applicable law and subscription terms
- Failure to pay results in suspension
We may update pricing upon reasonable notice.
12. Suspension and Termination
We may suspend or terminate access if:
- You breach these Terms
- Your use poses a security risk
- Payment obligations are not met
Upon termination:
- You may request your data within a specified period (30 days)
- Data may be deleted after retention periods expire
13. Third-Party Services
The Platform may integrate with third-party services. We do not guarantee their availability or performance.
App Store Terms
Where the Platform is accessed through a mobile application distributed via an app marketplace, use may also be subject to the application terms of that marketplace, including Apple App Store and Google Play terms.
14. Indemnity
You agree to indemnify us against claims arising from:
- Improper use of electronic signatures
- False or fraudulent records and certificates
- Unlawful data processing
- Misuse of the Platform
Survival
The following provisions survive termination:
- Intellectual property
- Liability limitations
- Indemnities
- Confidentiality obligations
- Data protection obligations
- Any clauses which by nature are intended to survive termination
15. Limitation of Liability
To the maximum extent permitted by law, we are not liable for:
- Compliance failures
- Regulatory penalties or enforcement actions
- Workplace incidents or contractor non-compliance
- Any direct or consequential loss
16. Electronic Signatures
You agree that electronic signatures and approvals:
- Are valid and binding where legally permitted
- Are your responsibility to manage in accordance with Applicable Law
17. Force Majeure
We are not liable for delays or failures caused by events beyond our control, including:
- System outages
- Cyber incidents
- Infrastructure failures
- Government actions
18. Governing Laws
These Terms are governed by the laws of South Africa.
19. Changes to These Terms
We may update these Terms from time to time. Material changes may be notified through:
- The Platform
- App notification
- Website notification
Continued use after such notice constitutes acceptance.
